Welcome to Zhufeng. These Terms of Service ("Terms") govern your access to and use of the website, products, and services offered by Taizhou Zhufeng Crafts Factory and Taizhou Zhufeng Crafts Co., Ltd. (collectively, "Zhufeng," "we," "us," or "our"), headquartered in Taizhou, Zhejiang Province, China.

By accessing our website, placing an order, or engaging with our services, you ("Buyer," "Customer," or "you") agree to be bound by these Terms in full. If you do not agree to these Terms, please discontinue use of our website and services immediately.

1. Scope of Services

Zhufeng manufactures and exports pinwheels, pinwheel strings, hot air balloon decorations, iron art ornaments, craftworks, and decorative accessories. We provide OEM and ODM collaborative development, supply chain services, and factory-direct wholesale to global brands, distributors, and procurement professionals.

These Terms apply to all transactions conducted through our official website, showroom, 1688.com listings, and any direct business correspondence initiated through our contact channels.

2. Eligibility

Our services are intended for business buyers, including procurement managers, distributors, wholesalers, and retail brand representatives. By engaging with Zhufeng, you represent and warrant that:

• You are at least 18 years of age and have the legal authority to enter into binding agreements on behalf of your organization.
• All information you provide to us is accurate, current, and complete.
• Your use of our services complies with all applicable laws and regulations in your jurisdiction.

3. Orders and Customization

All orders placed with Zhufeng are subject to written confirmation. An order is deemed accepted only upon our issuance of a formal order confirmation or proforma invoice.

• Minimum Order Quantities (MOQ): MOQ requirements vary by product and customization level. Specific MOQs will be confirmed during the quotation process.
• OEM/ODM Orders: Custom design, mold development, and sample approval processes must be completed and signed off by the buyer before mass production commences. Any design files, artwork, or specifications submitted by the buyer remain the intellectual property of the buyer.
• Order Modifications: Changes to confirmed orders must be requested in writing. Zhufeng reserves the right to adjust pricing or lead times as a result of modifications requested after production has commenced.
• Order Cancellations: Cancellations are subject to written agreement. Orders cancelled after production commencement may incur costs proportional to the production stage reached.

4. Pricing and Payment

All prices quoted by Zhufeng are in United States Dollars (USD) unless otherwise stated. Prices are factory-direct and subject to change without prior notice until a formal order is confirmed.

• Payment Terms: Standard payment terms are 30% deposit upon order confirmation and 70% balance prior to shipment, unless otherwise agreed in writing.
• Accepted Methods: Bank wire transfer (T/T), PayPal, and other methods as mutually agreed upon. All bank charges and transfer fees are the responsibility of the buyer.
• Late Payments: Zhufeng reserves the right to delay shipment or suspend services for overdue balances. Zhufeng is not liable for any resulting delays caused by late payment.
• Taxes and Duties: All import duties, customs fees, VAT, and local taxes applicable in the destination country are the sole responsibility of the buyer.

5. Quality Control and Inspection

Zhufeng implements rigorous quality control throughout all stages of production, including material selection, in-process inspections, and pre-shipment final inspection. Our products undergo standardized processes including die cutting, precision punching, edge folding, printing, assembly, balance calibration, and hand finishing.

• Pre-Shipment Inspection: Buyers may request third-party inspection at their own cost. Zhufeng will cooperate fully with accredited inspection agencies.
• Sample Approval: For custom orders, production samples must be approved in writing by the buyer before mass production. Zhufeng is not responsible for deviations from unapproved specifications.
• Acceptable Variance: Minor variations in color, size (within ±3%), and finish that do not materially affect product function or appearance are considered acceptable and do not constitute a defect.

6. Shipping and Delivery

Zhufeng ships products worldwide from our Taizhou, Zhejiang facility. All quoted lead times are estimates and begin from the date of production commencement following receipt of the required deposit.

• Incoterms: Default shipping terms are FOB Ningbo/Shanghai unless otherwise agreed in writing. Risk of loss and title transfer to the buyer upon handover to the carrier.
• Delivery Delays: Zhufeng will make reasonable efforts to meet agreed lead times. However, we are not liable for delays caused by force majeure events, customs clearance issues, carrier disruptions, or circumstances beyond our reasonable control.
• Packaging: Standard export packaging is included. Custom packaging specifications must be agreed upon during the order stage and may affect pricing and lead times.
• Damaged Goods in Transit: Any damage occurring after handover to the carrier is the carrier's responsibility. Buyers are advised to purchase appropriate cargo insurance. Zhufeng will provide all necessary documentation to support insurance claims.

7. Returns, Claims, and Disputes

All claims regarding product defects, quantity discrepancies, or non-conformance must be submitted in writing within 14 calendar days of the buyer's receipt of goods, accompanied by photographic or video evidence.

• Eligible Claims: Claims are accepted for manufacturing defects, significant quantity shortfalls, or goods materially different from the approved sample.
• Resolution Options: Upon verification of a valid claim, Zhufeng may, at its discretion, offer replacement goods, a credit note, or a partial refund proportional to the defect rate.
• Return Shipping: Unauthorized returns will not be accepted. Return authorization must be obtained in writing from Zhufeng prior to any shipment. Return shipping costs are the buyer's responsibility unless the defect is confirmed to be Zhufeng's fault.
• Dispute Resolution: Both parties agree to first attempt resolution through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to the competent courts of Taizhou, Zhejiang Province, China, under the laws of the People's Republic of China.

8. Intellectual Property

All content on the Zhufeng website, including product images, descriptions, logos, and design assets, is the intellectual property of Zhufeng and may not be reproduced, distributed, or used without prior written consent.

• Buyer-Supplied Designs: When buyers provide artwork, logos, or design specifications for OEM/ODM production, they represent and warrant that they hold all necessary rights to such materials and that their use does not infringe any third-party intellectual property rights. Buyers shall indemnify Zhufeng against any claims arising from buyer-supplied designs.
• Mold Ownership: Molds developed exclusively for a buyer's custom order remain the property of Zhufeng unless full mold costs have been separately paid and mold ownership transfer is agreed in writing.

9. Confidentiality

Both parties agree to keep confidential any proprietary business information, pricing structures, product designs, and technical specifications shared during the course of the business relationship. This obligation survives the termination of any order or agreement.

Zhufeng will not share buyer-specific design files or order details with third parties without the buyer's written consent, except as required by applicable law.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Zhufeng's total liability for any claim arising from or related to an order shall not exceed the invoice value of the specific order giving rise to the claim.

Zhufeng shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, loss of business opportunity, or reputational harm, even if advised of the possibility of such damages.

Zhufeng does not warrant that products are suitable for any specific end use beyond their stated specifications. Buyers are responsible for ensuring product compliance with applicable regulations in their destination markets.

11. Force Majeure

Neither party shall be held liable for failure or delay in performance resulting from causes beyond their reasonable control, including but not limited to natural disasters, government actions, war, pandemic, port closures, labor strikes, power outages, or significant raw material supply disruptions. The affected party shall notify the other party promptly and resume performance as soon as reasonably practicable.

12. Website Use

You agree to use the Zhufeng website only for lawful purposes and in a manner that does not infringe the rights of others. You must not:

• Attempt to gain unauthorized access to any part of the website or its underlying systems.
• Use automated tools to scrape, crawl, or harvest data from the website without prior written consent.
• Transmit any malicious code, viruses, or harmful data through the website.
• Misrepresent your identity or affiliation when submitting inquiries or orders.

13. Privacy

Zhufeng collects and processes business contact information solely for the purposes of order fulfillment, customer service, and business communications. We do not sell or share personal data with unaffiliated third parties for marketing purposes. By using our website or submitting an inquiry, you consent to the collection and use of your information as described herein.

14. Amendments to These Terms

Zhufeng reserves the right to update or modify these Terms at any time. The revised Terms will be posted on this page with an updated effective date. Continued use of our website or services after such changes constitutes your acceptance of the revised Terms. We encourage you to review this page periodically.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the courts of Taizhou, Zhejiang Province, China.
